Terms & Conditions - Commercial Photography Services
1. Scope
These Terms apply exclusively to commercial photography, creative direction, and copyright licensing services rendered by ElleDi Creative SAS to business clients, corporations, and institutions (B2B).
2. Quotes and Order Confirmation
All assignments require a formal written quotation valid for 30 days. An order is confirmed upon receipt by ElleDi Creative of the signed quote bearing the mention "Approved", along with an advance deposit payment of 30% to 50% of the total pre-tax contract value.
3. Rates and Payment Terms
- Payment: Invoices are issued upon final delivery of high-resolution image files. Balance payments are due within 30 days from the invoice date via bank transfer.
- Late Payment Penalties: Late payments accrue mandatory interest at the ECB refinancing rate plus 10 percentage points, alongside a fixed recovery fee of €40 (Art. L. 441-10 of the French Commercial Code). No discount is applied for early payment.
4. Copyright Licensing and Intellectual Property
- Moral Rights: Photographs created by Elda Robinet-Stainier are protected under international copyright law. The artist retains full, inalienable moral rights (including photo credit / authorship attribution).
- Usage License: File delivery does not transfer copyright. Copyright usage rights (media, territory, duration, application) are strictly limited to the explicit licensing terms stated in the quotation and invoice.
- Any unauthorized use outside the agreed license scope constitutes copyright infringement under law.
5. Cancellation and Rescheduling
In the event of cancellation by the business client:
- More than 7 business days before the shoot: The deposit is non-refundable and retained by ElleDi Creative.
- Fewer than 7 business days before the shoot: 100% of the total quote amount becomes fully due and payable.
6. Applicable Law and Jurisdiction
These B2B Terms are governed by French law. Any dispute shall be submitted to the exclusive jurisdiction of the Paris Commercial Court (Tribunal de Commerce de Paris).
